PLEASE READ THIS END USER LICENSE AGREEMENT ("EULA") CAREFULLY BEFORE DOWNLOADING, INSTALLING, ACCESSING, OR USING ESTATE SIMULATOR. THIS EULA CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND OBLIGATIONS, INCLUDING LIMITATIONS OF LIABILITY, A CLASS ACTION WAIVER, AND A JURY TRIAL WAIVER.
This EULA is a binding agreement between Shivay Tech LLC, with a registered address at 971 US Highway 202N, STE R, Branchburg, NJ 08876, United States ("Shivay Tech," "Company," "we," "us," or "our"), and you ("you" or "User").
This EULA governs your download, installation, access to, and use of the mobile application operating under the title Estate Simulator (the "Application" or "App").
This EULA becomes effective when you download, install, access, use, or electronically accept it through the Application.
By selecting "Agree & Continue," downloading, installing, accessing, or using the Application, you acknowledge that you have read, understood, and agree to be bound by this EULA.
Your use of Estate Simulator is also subject to our Terms of Service. Our Privacy Policy describes how information is handled in connection with the Application.
If you do not agree to this EULA, do not download, install, access, or use the Application.
You must be at least thirteen (13) years old to use the Application.
If you are under the age of majority in the jurisdiction where you live, you may use the Application only with the permission and supervision of a parent or legal guardian who agrees to this EULA on your behalf.
You represent that you are legally permitted to use the Application under applicable law.
The Application is not directed to children under 13.
Subject to your compliance with this EULA and the Terms of Service, Shivay Tech grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to download, install, and use Estate Simulator for your personal, non-commercial entertainment purposes on devices that you own or control, subject to the applicable rules of the marketplace through which you obtained the Application.
The Application is licensed, not sold, to you.
This EULA does not transfer to you any ownership interest in the Application, its software, content, intellectual property, or other proprietary materials.
No rights are granted except those expressly provided in this EULA.
Except where expressly permitted by applicable law or with Shivay Tech's prior written authorization, you may not:
copy, reproduce, distribute, publish, or commercially exploit the Application or any substantial portion of it;
sell, rent, lease, sublicense, assign, distribute, or otherwise transfer the Application or your rights under this EULA;
modify, adapt, translate, or create unauthorized derivative works from the Application;
reverse engineer, decompile, disassemble, or attempt to derive the source code of the Application;
remove, alter, or obscure copyright, trademark, attribution, or other proprietary notices;
bypass, disable, circumvent, or interfere with security features, technical protections, gameplay restrictions, or advertising mechanisms;
manipulate Application data, device state, advertising completion signals, or other systems for the purpose of fraudulently obtaining virtual items, rewards, or gameplay benefits;
use automated systems to extract substantial portions of the Application's content or data;
use the Application for an unlawful purpose; or
use the Application in a manner that infringes the intellectual-property or other legal rights of Shivay Tech or any third party.
Nothing in this Section prohibits conduct that applicable law expressly permits notwithstanding these restrictions.
Shivay Tech and its licensors retain all right, title, and interest in and to the Application and Company-owned or licensed content, including, as applicable:
software and source code;
game systems and mechanics;
user-interface designs;
artwork and graphics;
text and fictional content;
letters and item descriptions;
audio and audiovisual elements;
databases and compilations;
trademarks, service marks, and logos; and
updates, modifications, and improvements to the Application.
The Application and its contents may be protected by copyright, trademark, trade-secret, and other intellectual-property laws.
Your use of Estate Simulator does not grant you ownership of any virtual item, artwork, software, intellectual property, or other Company Content except for the limited license expressly granted by this EULA.
Virtual items and simulated game assets are governed further by the Terms of Service and have no real-world monetary or ownership value.
Shivay Tech may from time to time provide updates, patches, bug fixes, modifications, improvements, or new versions of the Application ("Updates").
Updates may add, modify, rebalance, or remove features or functionality.
Depending on your device and marketplace settings, Updates may be downloaded automatically or may require you to initiate installation.
Certain functionality may cease to operate correctly if you do not install an available Update.
Unless separate terms accompany an Update, Updates are considered part of the Application and are governed by this EULA.
Shivay Tech is not obligated to provide any particular Update or to continue providing any particular feature or functionality indefinitely.
Your use of the Application is subject to our Privacy Policy, which explains how information is handled in connection with Estate Simulator, including information associated with third-party advertising services.
The Application may interact with or depend upon third-party platforms and services, including:
Apple and the Apple App Store;
Google and Google Play;
Google AdMob;
operating-system services; and
other third-party technologies necessary to distribute, operate, or monetize the Application.
Third-party services are governed by their own terms and privacy policies.
Shivay Tech does not control and is not responsible for the availability, content, policies, privacy practices, security, or operation of third-party services except to the extent required by applicable law.
Estate Simulator may display third-party advertisements or provide access to third-party websites, products, services, or other materials ("Third-Party Materials").
Shivay Tech does not necessarily endorse Third-Party Materials and does not control their accuracy, availability, content, privacy practices, security, or legality.
Your interactions with third-party advertisers, websites, or services are between you and the applicable third party and are subject to that third party's terms and policies.
Additional provisions concerning advertising and rewarded advertisements are contained in the Terms of Service.
The following provisions apply if you obtain Estate Simulator through the Apple App Store:
You acknowledge that this EULA is between you and Shivay Tech only, and not Apple Inc. ("Apple"). Shivay Tech, not Apple, is solely responsible for the Application and its content.
The license granted to you is limited to a non-transferable license to use the Application on Apple-branded products that you own or control and as permitted by the applicable usage rules in the Apple Media Services Terms and Conditions, including any applicable Family Sharing or volume-purchasing provisions.
Apple has no obligation to provide maintenance or support services for the Application.
In the event the Application fails to conform to any applicable warranty, you may notify Apple, and where applicable Apple may refund the purchase price paid for the Application. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the Application. Any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are the responsibility of Shivay Tech to the extent required by applicable law.
As between Apple and Shivay Tech, Shivay Tech, not Apple, is responsible for addressing claims relating to the Application or your possession or use of it, including product-liability claims, claims that the Application fails to conform to applicable legal or regulatory requirements, and claims arising under consumer-protection, privacy, or similar laws.
In the event of a third-party claim that the Application or your possession and use of it infringes that third party's intellectual-property rights, Shivay Tech, not Apple, will be responsible for the investigation, defense, settlement, and discharge of such claim to the extent required by this EULA and applicable law.
You represent and warrant that you are not located in a country or region subject to a United States Government embargo or designated by the United States Government as supporting terrorism, and that you are not listed on any United States Government list of prohibited or restricted parties.
You must comply with applicable third-party terms when using the Application.
You acknowledge and agree that Apple and its subsidiaries are third-party beneficiaries of this EULA. Upon your acceptance of this EULA, Apple will have the right to enforce this EULA against you as a third-party beneficiary.
The following provisions apply if you obtain Estate Simulator through Google Play:
You acknowledge that this EULA is between you and Shivay Tech and not Google LLC ("Google").
Your use of the Application must comply with applicable Google Play terms and policies.
Google is not responsible for the Application or its content, maintenance, support, or services except to the extent expressly provided under applicable Google terms or required by law.
To the extent of any conflict between this EULA and mandatory Google Play terms applicable to your use of the Application, the applicable Google Play terms will control.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE APPLICATION IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."
SHIVAY TECH DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, SHIVAY TECH DOES NOT WARRANT THAT:
THE APPLICATION WILL ALWAYS BE AVAILABLE, SECURE, OR ERROR-FREE;
DEFECTS WILL ALWAYS BE CORRECTED;
THE APPLICATION WILL OPERATE WITHOUT INTERRUPTION;
THE APPLICATION WILL BE COMPATIBLE WITH EVERY DEVICE OR OPERATING-SYSTEM VERSION;
LOCAL GAME DATA WILL NEVER BE LOST OR CORRUPTED;
THIRD-PARTY SERVICES OR ADVERTISEMENTS WILL ALWAYS BE AVAILABLE; OR
GAME CONTENT, SIMULATED VALUES, OR OTHER INFORMATION WILL BE ACCURATE OR SUITABLE FOR REAL-WORLD USE.
ESTATE SIMULATOR IS A FICTIONAL ENTERTAINMENT GAME. IT DOES NOT PROVIDE FINANCIAL, INVESTMENT, LEGAL, TAX, ESTATE-PLANNING, REAL-ESTATE, APPRAISAL, OR OTHER PROFESSIONAL ADVICE.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OR ALL OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SHIVAY TECH LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF DATA, GAME PROGRESS, PROFITS, REVENUE, BUSINESS, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATING TO THE APPLICATION OR THIS EULA.
TO THE EXTENT LIABILITY CANNOT LAWFULLY BE EXCLUDED, SHIVAY TECH'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE APPLICATION OR THIS EULA SHALL NOT EXCEED THE GREATER OF:
THE AMOUNT YOU PAID DIRECTLY TO SHIVAY TECH FOR THE APPLICATION OR RELATED SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
FIFTY U.S. DOLLARS (US $50).
THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF SHIVAY TECH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTHING IN THIS EULA EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Shivay Tech LLC and its officers, directors, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable attorneys' fees arising from:
your unlawful or unauthorized use of the Application;
your material violation of this EULA; or
your violation of another person's rights.
This obligation does not apply to the extent a claim results from Shivay Tech's own unlawful conduct or where indemnification is prohibited by applicable law.
This EULA is effective from the date you first download, install, access, use, or electronically accept the Application and continues until terminated.
You may terminate this EULA by ceasing use of and uninstalling the Application.
Shivay Tech may terminate the license granted under this EULA if you materially violate this EULA, subject to applicable law.
Upon termination, your license to use the Application ends and you must cease unauthorized use of the Application.
Shivay Tech may also discontinue Estate Simulator or cease providing support for it at any time, subject to applicable law.
Provisions that by their nature should survive termination—including intellectual-property provisions, warranty disclaimers, limitations of liability, indemnification, governing-law provisions, and dispute provisions—will survive termination.
Shivay Tech may update this EULA to reflect changes to the Application, applicable law, third-party requirements, or our business practices.
The "Last Revised" date identifies the latest revision.
For material changes, we may require you to review and electronically accept an updated EULA before continuing to use the Application.
If you do not agree to a revised EULA that requires acceptance, you must discontinue use of the Application.
You are responsible for using the Application in compliance with applicable local, state, national, and international laws.
Nothing in this EULA is intended to limit consumer rights that cannot legally be waived.
Except to the extent applicable consumer law provides otherwise, this EULA and any dispute, controversy, or claim arising out of or relating to this EULA or the Application shall be governed by the laws of the State of New Jersey, United States, without regard to conflict-of-law principles.
To the fullest extent permitted by applicable law, you and Shivay Tech agree that any legal action or proceeding arising out of or relating to this EULA or the Application shall be brought exclusively in:
the state courts of New Jersey located in Middlesex County, New Jersey; or
the United States District Court for the District of New Jersey where federal jurisdiction exists.
Each party consents to the personal jurisdiction of those courts and waives objections to venue or inconvenient forum to the fullest extent permitted by law.
Nothing in this Section deprives a consumer of a mandatory protection or forum right that cannot legally be waived under applicable law.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SHIVAY TECH AGREE THAT ANY DISPUTE BETWEEN YOU AND SHIVAY TECH WILL BE RESOLVED SOLELY ON AN INDIVIDUAL BASIS.
YOU AGREE NOT TO BRING OR PARTICIPATE IN A CLAIM AS A PLAINTIFF OR CLASS MEMBER IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING.
THIS SECTION DOES NOT APPLY WHERE SUCH A WAIVER IS PROHIBITED OR UNENFORCEABLE UNDER APPLICABLE LAW.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SHIVAY TECH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE ARISING OUT OF OR RELATING TO THIS EULA OR THE APPLICATION.
THIS WAIVER DOES NOT APPLY WHERE A JURY-TRIAL WAIVER IS PROHIBITED OR UNENFORCEABLE UNDER APPLICABLE LAW.
If any provision of this EULA is found unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as necessary.
The remaining provisions will remain in full force and effect.
This EULA, together with the Terms of Service and any terms expressly incorporated into them, constitutes the agreement governing your license and use of Estate Simulator.
The Privacy Policy describes Shivay Tech's privacy practices but does not expand the license granted under this EULA.
If this EULA conflicts with the Terms of Service regarding the license to download, install, or use the Application, this EULA controls with respect to that licensing issue.
